Standard Evaluation Agreement

LICENCE AGREEMENT FOR EVALUATING SOFTWARE (“LICENCE”)

This Licence is a legal agreement between you (either an individual or a single entity) and Intech Solutions Pty Ltd ABN 45 002 812 697 (“Intech”) for the software product and associated data and documents accompanying this Licence (“Licensed Software”). By installing, copying or using the Licensed Software you agree to be bound by this Licence.

1. Grant of Licence
Intech grants you a non-exclusive and non-transferable licence to use the Licensed Software for the purpose of evaluating the Licensed Software (“Licensed Purpose”) for a period of 3 months (“Term”).
2. Limited Use
You may only use the Licensed Software for the Licensed Purpose and during the Term and you must ensure that any copy of the Licensed Software made pursuant to this agreement bears notice of Intech’s ownership of copyright. You must not use the Licensed Software or any output generated by it in an operating environment. In the event that the Licensed Software includes data provided by third parties then if any of these third parties change their terms including the  terms required to be included in sub-licenses then the Licensor may make reasonably required changes to this agreement by providing written notice to the Licensee.
3. No Modifications
You must not modify or reverse assemble the Licensed Software.
4. No Selling
You must not sell, rent or lease the Licensed Software.
5. Support
Support services are not required to be provided by this agreement.
6. Intellectual Property Rights
Intech owns or has the right to use and licence all the intellectual property rights in respect of the Licensed Software.
7. Disclaimer
To the extent permitted by law, the Licensed Software is provided as is with all faults and all implied or statutory warranties are excluded. Intech shall not be liable for any special, indirect, consequential or incidental loss or damage including but not limited to loss of business opportunity, business interruption,
lost profits or for punitive or exemplary damages. Intech’s total liability to you in respect of all claims relating to this agreement or the Licensed Software shall be strictly limited to AU$5.
8. Third Party Data
The Licensor has entered into a licence agreements with third party data providers in relation to the use of and sub-licensing of third party data. If the Licensed Software includes third party data then this agreement includes a sub-licence for the use of the relevant third party data and with respect to that sub-licence the
relevant provisions of the third party data end user terms (which are the terms required by third party data providers to be included in agreements for sub-licensing of third party data and which are available on the Licensor’s website at www.intechsolutions.com.au/Downloads.aspx or upon request from the Licensor
(“Third Party Data End User Terms”) are incorporated into this agreement. If this agreement includes a sublicence for third party data then the following will apply:
The Licensor shall use its reasonable endeavors to extend or renew the relevant third party data licence agreement for the Term. In the event that the third party data licence agreement expires or is terminated Standard Evaluation Agreement Rev: 25 Page 2 of 3 and is not extended or renewed then the relevant parts of this agreement will be removed from this agreement with effect from the date of termination of the third party data licence agreement. In the event of any inconsistency between the provisions of the Third Party Data End User Terms and any other provisions of this agreement then the provisions of the Third Party End User Terms will prevail with respect to the relevant third party data including any provisions regarding the term of the licence to the third party data and the permitted use of the third party data.
9. Termination
This agreement will terminate at the end of the Term. In addition, either party may terminate this agreement at any time by giving the other party 7 days prior written notice. On termination you must stop using the Licensed Software and you must return all copies of it to Intech. Clauses 6, 7 and 10 survive termination.
10. Governing Law
This agreement is governed by the laws of New South Wales, Australia and the parties submit to the non exclusive jurisdiction of that State.
